Job Summary:

The Associate General Counsel will serve as a trusted advisor to business leadership by providing strategic legal guidance on employment matters, regulatory compliance, corporate governance, risk management, and operational initiatives. This role is responsible for managing a broad range of legal activities, including contract negotiation and administration, procurement compliance, corporate transactions, intellectual property matters, litigation support, and governance activities. The position will also oversee compliance and privacy programs, advise on data security and regulatory requirements, manage external legal counsel, and partner with cross-functional teams to implement legal technologies and process improvements. The successful candidate will help mitigate organizational risk while enabling business growth and ensuring compliance with applicable laws, regulations, and contractual obligations.
Legal Counsel & Corporate Governance

- Provide legal guidance to leadership on employment matters, regulatory compliance, policies, procedures, and risk mitigation.

- Manage corporate legal activities, including intellectual property, mergers and acquisitions, financing agreements, litigation, and governance matters.

- Monitor legislative and regulatory developments and advise stakeholders on business impacts and required actions.

Contracts, Procurement & Risk Management

- Draft, negotiate, review, and administer client, vendor, licensing, confidentiality, data transfer, and other commercial agreements.

- Review and advise on federal, state, and local procurement requirements, contract compliance, and bid processes.

- Oversee the contract management system and manage outside counsel to support legal and business objectives.

Compliance, Privacy & Operational Support

- Support compliance programs through risk assessments, provider applications, attestations, internal investigations, and regulatory initiatives.

- Advise on information privacy, data security, program security, and third-party financial and compliance audits.

- Partner with business and technology teams to implement legal technology solutions and improve operational efficiency within the Legal Department.

Required Skills:

- Experience with governmental procurement processes.

- Experience reviewing and drafting contractual documents.

- Experience with state and federal information privacy and security requirements.

- Familiarity with the health care marketplace, including the Medicaid regulatory structure.

- Ability to draft clear and concise documents including policies, contracts and memoranda.

- Ability to provide sound and well-reasoned legal and practical judgment and guidance.

- Experience managing staff.

- Excellent legal, writing, and interpersonal skills.
