Job Description:
We are seeking an exceptional Mergers & Acquisitions (M&A) Lawyer with a strong track record in corporate transactional work. The ideal candidate will have at least 5 years of post-qualification experience advising on high-value, complex M&A matters. While direct Australian legal experience is not mandatory, the role requires someone who can quickly adapt to jurisdictional nuances and work seamlessly with Australian-based clients and legal teams.
This role is suited for commercially minded lawyers who have acted for institutional investors, multinational corporations, or private equity firms across various jurisdictions. A background in cross-border transactions and corporate advisory is highly desirable.
Responsibilities:

Lead and support M&A transactions including share/asset acquisitions, private equity deals, and joint ventures.

Draft, review, and negotiate transaction documentation including sale agreements, shareholder agreements, and legal opinions.

Advise clients on structuring transactions in line with local regulatory and commercial requirements.

Coordinate and conduct legal due diligence reviews and prepare detailed reports for clients.

Liaise with internal and external stakeholders including opposing counsel, financial advisors, and corporate teams.

Deliver high-quality legal and strategic advice under time-sensitive conditions.

Stay current with global M&A trends, legal developments, and regulatory updates relevant to transactional work.
Requirements

Law degree from a recognized institution; admission to practice in any common law jurisdiction is required.

Minimum of 5 years of experience in mergers and acquisitions, preferably with international or cross-border exposure.

Strong commercial acumen and the ability to understand and align with client business goals.

Superior drafting, negotiation, and communication skills.

Proven ability to work independently in a fast-paced, remote setting.

Experience with or willingness to work across different time zones to accommodate Australian clients.

Familiarity with legal tech tools and modern transaction management platforms.
