About this role
We're hiring a Senior Commercial Legal Counsel to join our legal team and partner with our U.S. sales team. Aidoc sells software solutions and services to hospitals and other healthcare organizations worldwide. This is a high-visibility role for a lawyer who thrives in a fast-paced, growth-stage environment, is comfortable owning deals end-to-end, and can balance commercial pragmatism with disciplined risk management.
Responsibilities
- Draft, review, and negotiate commercial agreements including SaaS agreements, MSAs, Partnership and Distribution agreements, order forms, SOWs, BAAs, NDAs, etc.
- Serve as legal contact for the US Sales team, working closely with Sales, Sales Ops, and Business Development to structure deals, drive contracts to signature and get contracts signed timely.
- Negotiate directly with customer and partner counsel and procurement teams, managing competing priorities and running multiple deals at once.
- Work with multiple internal functions (Product, Security, and Privacy) to address customer requirements around data protection, privacy/HIPAA, information security, and other healthcare-specific compliance aspects within contracts.
- Advise stakeholders on contract risks, such as licensing, IP rights, liability and indemnities, translating legal risk into clear, actionable business guidance.
- Support broader U.S. commercial matters as needed, including vendor/procurement agreements, partner and channel agreements, and other operational legal work outside of direct sales support.
- Identify recurring deal friction points and risks and proactively drive process improvements in collaboration with Legal leadership.
- Build and maintain templates, playbooks, contracting workflows and fallback positions to increase deal velocity and consistency across the sales organization.
Requirements
- Law degree and active U.S. bar membership.
- 6+ years in commercial/tech transactions, including significant in-house experience.
- Demonstrated experience negotiating SaaS/technology agreements with sophisticated enterprise customers; experience selling into healthcare, hospitals is strongly preferred.
- Working knowledge of privacy and security frameworks relevant to healthcare and enterprise SaaS (HIPAA, state privacy laws, US Healthcare regulations, etc.).
- Solid grasp of commercial IP concepts such as licensing, data usage, deliverable ownership, IP indemnities.
- Proven ability to run a high volume of concurrent negotiations under deadline pressure with strong prioritization in a fast-moving environment.
- Comfortable working with minimal oversight in a lean legal team, handling a broad book of commercial work.
