Job Description Summary: ModMed is seeking a Senior Corporate Governance and M&A Paralegal to support the company’s corporate governance, entity management, IPO readiness, and strategic transaction activities. The role partners closely with Legal leadership, Executive leadership, Finance, Tax, HR, and external counsel to manage board and committee processes, maintain corporate records, support M&A and financing activities, and help prepare the organization for future public company requirements. Your Role: - Manage corporate governance activities including preparation and maintenance of board and committee materials, resolutions, consents, meeting agendas, minutes, and corporate records. Coordinate board meeting logistics and ensure compliance with corporate governance requirements and organizational policies. - Support IPO readiness initiatives and public company governance preparation efforts, including corporate governance documentation, subsidiary structure reviews, capitalization records, diligence support, SEC filing coordination with outside counsel, and implementation of public company processes and controls. - Manage domestic and international legal entities, including formations, dissolutions, annual filings, qualifications, officer/director changes, and maintenance of corporate records and organizational charts. Ensure compliance with applicable corporate governance and regulatory requirements. - Support mergers, acquisitions, financings, restructurings, and other strategic transactions through due diligence coordination, document management, closing preparation, signature collection, post-closing integration support, and maintenance of transaction records. - Partner closely with Executive Leadership, Finance, Tax, HR, Compliance, and external counsel to support governance initiatives, strategic projects, and corporate transactions. Serve as a key legal operations contact for governance-related matters across the organization. - Support development and enhancement of governance processes, entity management systems, document repositories, and legal operations workflows. Identify opportunities to improve efficiency, standardization, and scalability across corporate legal functions.
