Position Overview We are seeking a highly skilled and detail-oriented Paralegal with a strong legal background and direct experience in a California law firm. The ideal candidate holds a law degree, is a currently practicing attorney, or brings extensive hands-on paralegal experience in a legal setting. Our Practice Areas You'll Be Supporting - Estate Planning (Wills, Trusts, Asset Protection, Power of Attorney) - California Probate & Estate Administration - Real Estate Law & Real Estate Disputes - Construction Law - Landlord-Tenant Law - Business Formation & California Business Law - Contract Law - Immigration Required Qualifications - Law degree (JD or foreign law degree) OR currently practicing attorney OR minimum 4 years of substantive paralegal -experience in a California law firm โ€” required - Paralegal certificate from an ABA-approved program preferred - Minimum 4 years of paralegal experience within a California law firm - Hands-on experience with Lawmatics and Clio Manage - Strong written and verbal communication skills - Highly organized with the ability to manage multiple cases and deadlines simultaneously - Reliable internet connection and home office setup for remote work Key Responsibilities - Prepare and organize MSO-PC formation documents, including articles, bylaws, capitalization records, ownership ledgers, and governance consents under California professional corporation requirements. - Assist attorneys in compiling fair-market-value support materials for management fees (comparables, cost documentation, methodology exhibits) used in fee-splitting and Anti-Kickback risk analysis. - Prepare draft OHCA material-transaction notice filings and related exhibits for attorney review. - Support medical spa formation matters, including medical director agreements, standardized procedures, and licensure/supervision documentation. - Track and organize compliance materials: annual FMV review files, ownership- disclosure records, and regulatory-change alerts relevant to CPOM and SB 351. - Draft first-pass MSAs, business-associate agreements, physician/medical-director agreements, and independent-contractor agreements from firm templates for attorney revision. - Maintain matter checklists, entity charts, closing binders, and filing calendars for California Secretary of State and Medical Board submissions. - Coordinate execution, notarization, e-signatures, and client follow-up on healthcare-entity documents. - Conduct factual research on entity status, licensing records, and Secretary of State filings, subject to attorney review. - Maintain accurate matter and deadline records in the firm's practice-management system and track time contemporaneously. - Draft, review, and proofread legal documents, pleadings, and correspondence - Conduct client intake interviews and gather case information under attorney supervision - Assist attorneys with case preparation, legal research, and document management - Manage and update case files, deadlines, and client records in Lawmatics and Clio Manage - Communicate professionally with clients, courts, and opposing counsel - File documents with California courts, including e-filing systems - Ensure accurate and timely documentation of all case-related activities
