Job Description: We are seeking an experienced Mergers & Acquisitions (M&A) Lawyer with a strong foundation in Australian corporate and transactional law. The ideal candidate will have demonstrated success advising clients on high-value transactions and navigating the complexities of due diligence, deal structuring, negotiations, and post-merger integration. Prior experience in cross-border transactions or working within outsourced legal teams will be highly regarded. Responsibilities:

Advise clients on M&A transactions including structuring, due diligence, contract drafting, negotiations, and regulatory compliance.

Draft and review transactional documents such as share purchase agreements, asset purchase agreements, shareholder agreements, and NDAs.

Conduct and coordinate legal due diligence processes, identifying legal risks and advising on mitigation strategies.

Support clients through all phases of M&A, including post-merger integration.

Liaise with tax, financial, and operational consultants to ensure smooth transaction execution.

Stay informed on changes in Australian corporate law, particularly those affecting M&A activity.

Collaborate with internal and client-side legal and corporate teams across time zones.

Requirements

Undergraduate degree in Law and qualification to practice law is mandatory; Australian legal education or direct experience working with Australian M&A matters is strongly preferred.

A minimum of 5 years of hands-on experience with mergers, acquisitions, joint ventures, and related corporate transactions.

Expertise in Australian corporate law, M&A processes, and regulatory requirements.

Excellent drafting, negotiation, and analytical skills.

Strong communication and project management abilities, especially in virtual and cross-functional environments.

Prior experience in cross-border M&A or remote legal support settings is a plus.
