The Corporate Counsel is a newly created role to support APM’s growth and continued development as the world’s leading human services provider. Preferably coming from a strong commercial or government background, this individual will play a key role in management of legal work associated with APM’s US businesses. A successful candidate should have knowledge in one or several areas of corporate law, such as property, contracts, compliance and employment/labor. Admission in good standing to practice law in home state, ability to obtain corporate counsel admission in Kentucky required.
Contracts – Review and Drafting

- Review of customer contracts, leases and other agreements to ensure risk is understood and managed effectively by the business

- Draft contracts in new business areas in consultation with Business Partners

- Support the contracting lifecycle from intake to execution, including amendments, renewals, RFP/RFQ responses, and vendor onboarding.

- Advise operational teams on contract interpretation, risk allocation, performance obligations, and dispute mitigation.

Business Support

- Support corporate governance activities including entity management, annual reports, board materials, minutes, and recordkeeping.

- Assist with compliance related to corporate registrations, licensing, certificates of authority, and contract eligibility requirements.

Compliance

- Understands and applies APM policies and procedures, and helps to advise on compliance with APM’s code of conduct, whistleblowing and other ethical policies

- Maintains a high level of personal integrity and compliance with APM’s values

- Maintains an awareness of relevant trends and issues in regulation applicable to relevant sectors, such as clinical governance, privacy and employment law requirements

- Communicate and escalate any issues, as necessary.

- Support training and education for staff on legal, compliance, privacy, and contract-related topics.

Corporate Law and Commercial Dispute Management

- Manage pre-litigation disputes and work with outside counsel on litigation, administrative claims, and other dispute matters.

- Evaluate potential liability and recommend strategies for resolution, mitigation, or negotiated outcomes.

- Deliver training and updates to help the business manage disputes and upcoming legislative changes

Legal Advice

- Quickly understand new areas of the law and communicate advice in a concise, plain English and commercially focused manner

- Exercise awareness of limitations, and when to seek external advice or assistance from other team members on matters of significance

- Communicate effectively around legal risk and proactively provide advice to the business without waiting to be asked or for something to go wrong

Continuous improvement

- Work to continually improve organisational systems and processes to maximise employee efficiency, effectiveness, and productivity to deliver quality outcomes.

- Actively contribute to this process of continual improvement by always seeking better ways to support and assist colleagues and Senior Leadership.

Miscellaneous

- Perform additional legal tasks and special projects as assigned by the Associate General Counsel or APM’s Chief Risk and Legal Officer

- Develop competency on a broad spectrum of legal issues common to APM US operating companies

Experience and Key Skills

- Experience in commercial contracts, including drafting, negotiation and review - essential

- Employment or Labor law experience – essential

- Property law experience - desired

- Having worked in a multinational corporate group or law firm - desired

- Licensed in good standing in home state, with ability to gain corporate counsel status in Kentucky – essential

Capabilities

- Excellent analytical and communication skills (both verbal and written)

- Strong coordination and time management skills

- Ability to engage and consult with multiple stakeholders

- Highly versed in negotiating
