A dynamic and innovative law firm with a proven track record in providing top-tier legal services to businesses of all sizes. This firm specializes in a wide range of corporate and business transactions, including private placements, mergers and acquisitions, venture capital, growth, early and seed-stage capital, offshore transactions, and corporate contracts. We are currently seeking a highly skilled and experienced Senior Associate Attorney to join the team and help drive continued success.
Responsibilities:

- Provide legal advice and support on a variety of corporate and business transactions, including private placements, mergers and acquisitions, venture capital, growth, early and seed-stage capital, offshore transactions, and corporate contracts.

- Draft, review, and negotiate complex transaction documents, including term sheets, purchase agreements, shareholder agreements, and other legal contracts.

- Collaborate with clients and cross-functional teams to develop and implement legal strategies that protect clients' interests and advance their business objectives.

- Manage and maintain client relationships, providing exceptional service and ensuring their satisfaction with our legal representation.

- Supervise and mentor junior associates and paralegals, providing guidance and support to ensure their professional growth and development.

- Stay informed of legal, regulatory, and industry developments that may impact clients' operations and advise them accordingly.

- Participate in business development efforts, including networking events, seminars, and other initiatives to grow the firm's client base and enhance its reputation.

- Contribute to the development and improvement of firm policies, procedures, and best practices to ensure the highest level of client service and operational efficiency.

Requirements:

- Juris Doctor (JD) degree from an accredited law school.

- Admission to practice law in Florida (active and in good standing).

- A minimum of 5-7 years of experience as an attorney, with a focus on corporate and business transactions, including private placements, mergers and acquisitions, venture capital, growth, early and seed-stage capital, offshore transactions, and corporate contracts.

- Demonstrated ability to manage complex transactions with minimal supervision, including experience leading negotiations and coordinating teams of professionals.

- Excellent legal research, writing, and analytical skills, with a strong attention to detail and the ability to communicate complex legal concepts clearly and effectively.

- Strong interpersonal skills, including the ability to develop and maintain client relationships and work effectively in a team-oriented environment.

- Proven ability to work well under pressure and manage multiple priorities in a fast-paced environment.

- A commitment to professional development, staying current with legal developments, and a desire to contribute to the growth and success of the firm.
